Red9 SQL Server Health Check Product Schedule

This Product Schedule (this “Schedule”) supplements and is governed by the Red9 Master Software License Agreement (the “Master Agreement”) available at https://red9.com/legal/eula/. Capitalized terms used but not defined in this Schedule have the meanings given in the Master Agreement. This Schedule is published at https://red9.com/legal/eula/hc/.
BY DOWNLOADING, INSTALLING, OR USING THE SOFTWARE IDENTIFIED BELOW, YOU AGREE TO BOTH THE MASTER AGREEMENT AND THIS SCHEDULE.
1. THE SOFTWARE
For purposes of this Schedule, “Software” means the Red9 SQL Server Health Check application — a downloadable diagnostic tool that connects to Microsoft SQL Server instances, collects operational metadata, and transmits the metadata to Red9 for the generation of a health check report.
2. SERVER
For purposes of this Schedule, “Server” means a single physical or virtual SQL Server instance on which the Software is installed or against which the Software is run.
3. SOFTWARE BEHAVIOR
When run, the Software (a) connects to one or more Servers, collects Operational Data (as defined in Section 4), and transmits that Operational Data over the internet to a server controlled by Red9, which Red9 uses to generate a health check report and related deliverables for You; and (b) periodically connects to Red9 to check for and automatically download updates, which may include security patches, bug fixes, and new features. By installing or running the Software, You consent to both behaviors.
4. OPERATIONAL DATA
For purposes of this Schedule, Operational Data consists of the following categories of technical and performance data collected from each Server:
- Server configuration (SQL Server version, edition, configuration settings)
- Hardware characteristics (CPU, memory, storage)
- Performance counters (CPU, memory, disk I/O, query metrics)
- Wait statistics
- Error log entries
- Similar operational metadata related to SQL Server health and performance
The Software is not designed to access, copy, or transmit the contents of user databases, application data, or stored personal information. You are responsible for ensuring that Operational Data fields (for example, server names, login names, or query text) do not embed sensitive content; if they unintentionally do, both parties will treat such content as Confidential Information and Red9 will handle it consistent with the Privacy Notice.
5. SUBPROCESSORS
Red9 uses Microsoft Azure to host the server-side components of the Software and to process Operational Data. Additional information about Subprocessors is described in the Privacy Notice or available on reasonable request, as further provided in Section 4.2 of the Master Agreement.
6. TRADEMARK
“Red9 SQL Server Health Check” is a trademark of Solution Square, Inc. d/b/a Red9.
7. RIGHT TO DECLINE
If You do not agree with the Operational Data flow described in this Schedule or in Section 4 of the Master Agreement, do not install or run the Software.
8. INTENDED USE; USAGE LIMITS
The Software is designed for occasional diagnostic use — typically a small number of runs by any given User or Customer to assess SQL Server health. The server-side processing of Operational Data and the generation of health check reports impose costs on Red9.
Red9 reserves the right, in its sole discretion, to impose technical limits on use of the Software, suspend Your access to the Software, or terminate Your license, where Red9 reasonably determines that: (a) Your use of the Software, or use of the Software by any of Your Users, exceeds normal diagnostic use patterns; (b) Your use of the Software imposes disproportionate costs on Red9; or (c) the Software is being used in a manner inconsistent with its intended purpose as described in this Schedule.

9. ACKNOWLEDGMENT OF RISK; RELEASE
The Software connects to and reads data from production database systems. While Red9 has designed the Software to be lightweight and to minimize performance impact, You acknowledge and accept all risks associated with running the Software, including potential server performance impacts, slowdowns, outages, interruptions, or other operational issues.
BY INSTALLING OR RUNNING THE SOFTWARE, YOU RELEASE RED9 FROM ANY AND ALL CLAIMS, DEMANDS, LOSSES, AND LIABILITIES ARISING FROM OR RELATING TO THE OPERATION OF THE SOFTWARE IN YOUR ENVIRONMENT, INCLUDING ANY IMPACT ON SERVER PERFORMANCE, AVAILABILITY, OR INTEGRITY. THIS RELEASE DOES NOT APPLY TO CLAIMS ARISING FROM RED9’S WILLFUL MISCONDUCT OR GROSS NEGLIGENCE, OR TO CLAIMS THAT CANNOT BE RELEASED UNDER APPLICABLE LAW. THIS RELEASE SUPPLEMENTS, AND DOES NOT REPLACE, THE WARRANTY DISCLAIMER AND LIMITATION OF LIABILITY IN SECTIONS 8 AND 9 OF THE MASTER AGREEMENT.
